Our team has extensive experience in advising on matters related to corporate finance, and structure finance. This has involved work in conventional and sharia-based transactions such as general corporate transactions, leveraged buy-out and loan refinancing, issuance of senior secured notes, securing a syndicated financing facility, and the procurement of other credit facilities. We have advised many prominent clients to obtain the most advantageous transaction structures, including multi-finance entities, a major cinema operator in Indonesia, and conventional commercial and sharia-based banks both foreign and domestic.
In line with improving the quality of infrastructure provision in Indonesia, we have assisted several project companies in dealing with prime contracts and agreements. We have advised a wide range of companies engaged in sectors such as mining, toll roads, gas supply, electricity, property and other infrastructure projects.

In addition to the financing aspect of banking, we also act as legal counsel to eminent offshore banks, preparing and reviewing standardized banking documents in accordance with prevailing laws. We also support clients as counsel to domestic and offshore banks in corporate finance transactions covering bilateral and syndication loans, derivatives, and debt restructuring.
We provide expert legal counsel to well-known domestic and foreign financial institutions, and to some of the largest multi-finance companies, assisting with financing transactions and giving general legal advice on a variety of issues.
We assist clients by providing legal advice pertaining to Indonesia’s pension fund regulatory frameworks, including clients’ plans to restructure their institutions.
We are experienced in the establishment of offshore private equity funds and the formation of collective investment contracts with limited participation. Bahar also provides legal consultations to prominent private equity companies with regard to their business operations and investments in Indonesia.
We are also experienced in sharia-compliant financial transactions, in both the capital market and private sectors, balancing our clients’ needs with sharia compliance. Our work covers structure, due diligence, reviewing and drafting standard documentation, and advising on sharia-legal perspectives. We also have detailed knowledge on the sharia aspects of government issued sharia products.

  1. One of the biggest private banks in Indonesia, which we advised in relation to the syndicated financing facility of a major power plant;
  2. One of the largest and first sharia banks in Indonesia, which we advised with regards to syariah financing from several national syariah banks to finance the construction of the Soreang – Pasir Koja toll road;
  3. The financing of a major power plant and gas pipeline project
    • We assisted with the syndicated financing of USD 48 million for the development of 2 x 35 MW gas-fired power plants in Batam.
    • We advised on the syndication of two Indonesian infrastructure financing companies on project financing of USD 47 million for the development of a subsea gas pipeline system in Batam.
    • The scope of our work on these projects included conducting legal due diligence, drafting and negotiating various loan and security documentations, and providing legal advice to the lenders.
  4. A subsidiary of one of the biggest multi-companies in Indonesia, which we assisted with the acquisition of equity and mezzanine facilities to obtain effective ownership of the operator of the Cikampek – Palimanan Toll Road, the longest toll road in Indonesia.
